 Delivery, Acceptance, and Rejection


Vendor shall deliver each Deliverable to Customer’s facility located at ____________ on the following timeframe: ____________ (“Delivery”). Each Deliverable will be considered accepted (“Acceptance”) (a) when Customer provides Vendor written notice of acceptance or (b) _____ days after Delivery, if Customer has not first provided Vendor with written notice of rejection. Customer may reject a Deliverable only in the event that it materially deviates from its Technical Specifications and only via written notice setting forth the nature of such deviation. In the event of such rejection, Vendor shall correct the deviation and redeliver the Deliverable within _____ days. Redelivery pursuant to the previous sentence will constitute another Delivery, and the parties shall again follow the acceptance procedures set forth in this Section ___. Vendor’s failure to provide Deliverables that materially conform to the Technical Specifications may constitute breach of this Agreement, and this Section ___ does not limit any remedy Customer may have for such breach.
